TERMS & CONDITIONS

MajorCore Capital LLC
Effective Date: September 2026
Last Updated: September 24, 2026

These Terms & Conditions (“Terms”) govern access to and use of the website operated by MajorCore Capital LLC (“MajorCore,” “we,” “us,” or “our”), including information, forms, materials, and services made available through the website.

By accessing or using the website, you agree to these Terms. If you do not agree, please do not use the website.

1. About MajorCore

MajorCore Capital LLC is a Connecticut limited liability company engaged in ATM-related business activities and services.

MajorCore may expand its services over time to include merchant services, payment-related solutions, technology, business services, or other lawful offerings.

The availability and terms of any particular service are determined by MajorCore and may be subject to separate agreements, eligibility requirements, third-party relationships, laws, regulations, and payment-network requirements.

2. Website Purpose

The MajorCore website provides general information about our company and services and allows businesses and other users to contact us, request information, and submit potential ATM placement opportunities.

Information on this website is provided for general informational and business purposes. Website content does not constitute legal, tax, accounting, financial, investment, or other professional advice.

3. ATM Placement Requests

Submitting an ATM placement request, contact form, inquiry, or other information through this website does not:

  • Guarantee approval of a location;

  • Guarantee placement or installation of an ATM;

  • Create a merchant relationship;

  • Create an agency, partnership, joint venture, franchise, or employment relationship;

  • Guarantee any amount of revenue, transaction volume, customer traffic, or financial benefit;

  • Reserve equipment or establish an installation date; or

  • Create a binding ATM placement agreement.

MajorCore independently evaluates proposed locations based on factors that may include customer traffic, cash demand, security, accessibility, existing ATM availability, location characteristics, operating hours, expected transaction volume, economics, serviceability, compliance requirements, and other business considerations.

MajorCore may approve, decline, defer, or request additional information concerning any placement request in its discretion, subject to applicable law.

4. Separate Merchant Agreements

If MajorCore approves an ATM placement, the relationship between MajorCore and the merchant or location owner will be governed by a separate written agreement, such as a MajorCore ATM Placement Agreement.

That agreement may address matters including equipment ownership, placement, access, installation, servicing, cash management, merchant compensation, exclusivity, security, damage, insurance, term, termination, removal, and other rights and responsibilities.

If these Website Terms conflict with a separately executed written agreement between MajorCore and a merchant or business partner concerning a specific service, the separately executed agreement will control with respect to that service or relationship.

5. No Earnings or Performance Guarantee

ATM transaction volume and financial performance depend on numerous circumstances outside MajorCore's control.

MajorCore does not guarantee:

  • A particular number of ATM transactions;

  • A particular amount of surcharge or interchange revenue;

  • Increased customer traffic or sales;

  • A particular merchant commission;

  • Continuous ATM availability or uptime;

  • A particular return on investment; or

  • Any specific financial result.

Any examples, estimates, projections, illustrations, or historical results provided by MajorCore are for informational purposes and should not be interpreted as guarantees of future performance.

6. ATM and Network Availability

ATM services may depend upon equipment, telecommunications systems, electrical service, internet or wireless connectivity, processors, financial institutions, payment networks, card issuers, service providers, and other systems outside MajorCore's direct control.

ATM or related services may occasionally be unavailable, delayed, interrupted, limited, or affected by maintenance, equipment failures, network outages, security events, third-party actions, force majeure events, or other circumstances.

MajorCore does not guarantee uninterrupted or error-free operation of every ATM, website function, payment network, or third-party service.

7. Third-Party Financial and Payment Services

ATM transactions and future payment-related services may involve independent third parties, including banks, card issuers, payment networks, ATM processors, sponsoring financial institutions, telecommunications providers, merchant-service providers, and other vendors.

MajorCore does not control every action, system, policy, approval, fee, interruption, or decision of an independent third party.

A user's relationship with a financial institution, card issuer, payment network, or other third party may also be governed by separate agreements and policies between that user and the applicable third party.

Nothing on this website should be interpreted as representing MajorCore as a bank, credit union, card issuer, or other type of regulated financial institution unless MajorCore expressly states otherwise and is legally authorized to act in that capacity.

8. Future Merchant and Payment Services

MajorCore may offer additional merchant, payment, technology, or business services in the future directly or through third-party providers.

Any such service may be governed by separate applications, underwriting requirements, processor or bank approval, pricing schedules, disclosures, agreements, network rules, and other terms.

The description of a potential or future service on this website does not guarantee its availability or a user's eligibility.

9. Accurate Information

When submitting information to MajorCore, you agree to provide information that is accurate and not knowingly false, misleading, fraudulent, or unauthorized.

If you submit information on behalf of a business, organization, property owner, or other person, you represent that you have appropriate authority to provide that information and communicate with MajorCore regarding the request.

MajorCore may rely upon information submitted to us when evaluating an inquiry or business opportunity.

10. Acceptable Use

You may use this website only for lawful purposes.

You may not:

  • Attempt to gain unauthorized access to the website, systems, accounts, networks, or data;

  • Interfere with the operation or security of the website;

  • Introduce malicious code, malware, automated attacks, or harmful technology;

  • Attempt to bypass security controls;

  • Scrape, harvest, or systematically extract website information without authorization;

  • Impersonate another person or business;

  • Submit fraudulent or intentionally misleading information;

  • Use the website to violate applicable law or the rights of another person; or

  • Use MajorCore's name, trademarks, content, or systems in an unauthorized manner.

MajorCore may restrict or terminate access when reasonably necessary to protect its website, systems, customers, merchants, partners, or legal rights.

11. Intellectual Property

Unless otherwise stated, the MajorCore name, logo, branding, website design, graphics, written materials, photographs, business materials, and other original content are owned by or licensed to MajorCore Capital LLC and are protected by applicable intellectual-property laws.

No license or ownership interest is granted merely by accessing the website.

You may not reproduce, distribute, modify, sell, publish, commercially exploit, or use MajorCore intellectual property without prior authorization except as permitted by law.

12. Third-Party Links

The website may contain links to third-party websites or resources for convenience or informational purposes.

A link does not necessarily constitute MajorCore's endorsement of the third party or its products, services, policies, or practices.

MajorCore is not responsible for the content, availability, privacy practices, security, accuracy, or operation of independent third-party websites.

13. Privacy

Use of personal information collected through the website is addressed in the MajorCore Capital LLC Privacy Policy, which is incorporated into these Terms by reference where applicable.

14. Disclaimer of Warranties

To the fullest extent permitted by applicable law, the website and its content are provided on an “as is” and “as available” basis.

MajorCore makes no warranty that the website will always be available, uninterrupted, error-free, completely secure, or free from harmful components.

MajorCore does not warrant the completeness, accuracy, reliability, or continued availability of information supplied by independent third parties.

Nothing in this section limits any warranty or right that cannot lawfully be excluded.

15. Limitation of Liability

To the fullest extent permitted by applicable law, MajorCore Capital LLC and its members, managers, officers, employees, contractors, representatives, and agents will not be liable for indirect, incidental, special, exemplary, punitive, or consequential damages arising from or relating to use of, or inability to use, the website or reliance upon website content.

This includes, where permitted by law, lost profits, lost business opportunities, lost data, business interruption, or similar losses.

Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited.

Any liability arising from a separately executed merchant, ATM placement, processing, or other service agreement will be governed by the terms of that agreement rather than this website provision to the extent applicable.

16. Indemnification

To the extent permitted by applicable law, you agree to indemnify and hold harmless MajorCore Capital LLC and its members, managers, officers, employees, contractors, representatives, and agents from third-party claims, damages, liabilities, costs, and reasonable expenses arising from your unlawful misuse of the website, your intentional submission of false or unauthorized information, your violation of these Terms, or your infringement of another party's rights.

This provision does not require indemnification to the extent prohibited by applicable law.

17. Security

You may not attempt to test, probe, defeat, circumvent, or interfere with website or system security without MajorCore's express written authorization.

Suspected fraud, security issues, tampering, or unauthorized activity involving MajorCore equipment or systems should be reported promptly through MajorCore's published contact channels.

18. Changes to the Website or Services

MajorCore may modify, suspend, discontinue, add, or remove website features, content, or services as the business evolves.

MajorCore may also update these Terms from time to time. Updated Terms will display a revised “Last Updated” date.

Where applicable law requires additional notice or consent for a particular change, MajorCore will provide it.

19. Governing Law

These Terms are governed by the laws of the State of Connecticut, without regard to conflict-of-law principles, except where federal law or another applicable law controls.

20. Disputes and Venue

Unless a separate written agreement with MajorCore provides otherwise, and to the extent permitted by applicable law, disputes arising directly from these Website Terms or use of this website will be brought in a court of competent jurisdiction in the State of Connecticut.

Nothing in this section prevents MajorCore from seeking appropriate injunctive or equitable relief where permitted by law.

21. Severability

If any provision of these Terms is determined to be invalid, unlawful, or unenforceable, the remaining provisions will continue in effect to the fullest extent permitted by law.

22. No Waiver

MajorCore's failure to enforce a provision of these Terms does not waive its right to enforce that provision or any other provision later.

23. Entire Website Agreement

These Terms, together with the Privacy Policy and any other policies expressly incorporated by reference, constitute the agreement governing use of this website.

These Terms do not replace a separately executed ATM Placement Agreement, processing agreement, merchant-services agreement, or other written contract with MajorCore.
